Terms of Service

These Terms of Service ("Terms") govern your access to and use of Sofia, the AI-powered agent platform operated by Aitropos ("Aitropos," "we," "us," or "our").

By accessing, registering for, or using Sofia, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use Sofia.

If you use Sofia on behalf of a company, organization, or other legal entity, you represent and warrant that you have authority to bind that entity to these Terms, and "you" will refer to both you and that entity.

You may use Sofia only if you are legally able to enter into a binding contract under applicable law and are not prohibited from using the service under applicable law, sanctions, or export restrictions.

Sofia is intended for business and professional use. You are responsible for ensuring that your use of Sofia is lawful in every jurisdiction where you deploy it.

Sofia is a platform that allows users to create, configure, and operate AI agents across supported messaging channels and connected services, including features such as:

• AI-assisted message handling
• conversation storage and routing
• human takeover workflows
• structured lead capture
• connector-based integrations
• website and document knowledge ingestion
• calendar and scheduling-related workflows

We may add, remove, modify, suspend, or discontinue features at any time.

You are responsible for:

• providing accurate registration and account information
• maintaining the confidentiality of your login credentials
• all activity that occurs under your account
• promptly notifying us if you believe your account or credentials have been compromised

You may not share access credentials in a way that bypasses intended account controls or use another person's account without authorization.

Sofia may process messages, contact identifiers, uploaded documents, website content, prompts, and other data that you or your end customers submit to the platform ("Customer Data").

You are solely responsible for:

• the legality of Customer Data and your instructions to Sofia
• obtaining all notices, consents, and permissions required to collect and process Customer Data
• your relationship with your own end customers, users, and leads
• reviewing AI outputs before relying on them in business, legal, medical, financial, or operational contexts
• complying with all applicable privacy, consumer protection, marketing, intellectual property, and communications laws

If you use Sofia to interact with end customers, you must provide appropriate notice that they may be interacting with an AI system and that their information may be processed through third-party messaging and AI providers.

Sofia may integrate with or depend on third-party services, platforms, APIs, and infrastructure, including messaging providers, Google services, AI model providers, hosting providers, and other connectors configured by you.

Your use of Sofia does not waive or replace any third-party terms that apply to those services. You are responsible for complying with the terms, policies, and usage restrictions of any third-party platform you connect to Sofia, including where applicable Meta/WhatsApp, Telegram, Google, OpenAI, and xAI.

We are not responsible for third-party services, including their availability, security, content, outages, policy changes, fees, or actions taken against your accounts with them.

You may not use Sofia to:

• violate any law or regulation
• infringe, misappropriate, or violate any person's rights
• send unlawful, deceptive, abusive, defamatory, or harmful content
• spam, harass, phish, or impersonate others
• exploit or attempt to exploit minors
• generate or distribute malware or malicious code
• interfere with, disrupt, or degrade the platform
• bypass authentication, rate limits, or access controls
• reverse engineer or probe the service except where applicable law clearly permits it
• use Sofia in a way that violates third-party messaging, API, or AI-provider policies

We may investigate suspected misuse and may suspend or terminate access where we reasonably believe a violation has occurred.

Sofia includes AI-powered features. AI-generated outputs may be incomplete, inaccurate, outdated, misleading, or inappropriate for your use case.

You acknowledge and agree that:

• AI output is provided for informational and operational assistance purposes
• you remain responsible for reviewing, approving, and using outputs
• Sofia is not a substitute for legal, medical, accounting, employment, safety-critical, or other professional advice
• you will not rely on Sofia where a failure or inaccuracy could reasonably result in death, bodily injury, significant property damage, or other high-risk harm without appropriate human review and safeguards

Sofia, including its software, interface, branding, design, and underlying technology, is owned by Aitropos or its licensors and is protected by applicable intellectual property laws.

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable right to access and use Sofia for your internal business use.

Except for this limited right, no rights are granted to you.

As between you and Aitropos, you retain your rights in Customer Data, subject to any rights granted to third-party providers whose services you choose to use.

You grant Aitropos a non-exclusive, worldwide, limited right to host, store, reproduce, transmit, process, modify, and otherwise use Customer Data solely as necessary to:

• provide and maintain Sofia
• operate requested features
• secure and troubleshoot the service
• comply with law
• enforce these Terms

If you provide suggestions, ideas, feedback, or recommendations regarding Sofia, we may use them without restriction or obligation to you.

Sofia may include free features, paid features, pilot access, or custom commercial arrangements.

If you purchase or use paid services, the applicable pricing, billing terms, renewal terms, and payment obligations will be described in a separate order, checkout flow, invoice, or written agreement. If there is a conflict between these Terms and a separately executed commercial agreement, that agreement controls to the extent of the conflict.

We may suspend, restrict, or terminate your access to Sofia immediately, with or without notice, if:

• you violate these Terms
• we are required to do so by law or third-party provider requirements
• your use creates security, legal, or operational risk
• you fail to pay applicable fees when due, if paid services apply

You may stop using Sofia at any time.

Sections that by their nature should survive termination will survive, including ownership, disclaimers, limitations of liability, indemnity, dispute-related provisions, and provisions concerning accrued obligations.

Sofia is provided on an "as is" and "as available" basis.

To the maximum extent permitted by applicable law, Aitropos disclaims all warranties, whether express, implied, statutory, or otherwise, including any implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, quiet enjoyment, accuracy, or reliability.

We do not warrant that Sofia will be uninterrupted, secure, error-free, or that outputs or third-party integrations will always be available, accurate, or suitable for your needs.

To the maximum extent permitted by applicable law, Aitropos and its affiliates, officers, employees, contractors, and licensors will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, goodwill, data, business interruption, or loss of opportunity, arising out of or related to Sofia or these Terms.

To the maximum extent permitted by applicable law, our total aggregate liability arising out of or related to Sofia or these Terms will not exceed the greater of:

• the amount you paid to Aitropos for Sofia in the 12 months preceding the event giving rise to the claim, or
• USD $100

Some jurisdictions do not allow certain limitations of liability, so some of the above limitations may not apply to you.

You agree to defend, indemnify, and hold harmless Aitropos and its affiliates, officers, employees, contractors, and licensors from and against any claims, liabilities, damages, judgments, losses, costs, and expenses, including reasonable legal fees, arising out of or related to:

• your use of Sofia
• your Customer Data
• your violation of these Terms
• your violation of applicable law or third-party rights
• your use of third-party services in connection with Sofia

Unless a separate written agreement between you and Aitropos states otherwise, these Terms are governed by the laws applicable in the jurisdiction where the relevant Aitropos contracting entity is established, without regard to conflict-of-law principles.

Unless applicable law requires otherwise, disputes arising out of or relating to these Terms or Sofia will be brought in the courts with competent jurisdiction over that location.

We may update these Terms from time to time. If we make material changes, we may post the updated Terms through Sofia, update the effective date, or provide other reasonable notice.

Your continued use of Sofia after updated Terms become effective means you accept the revised Terms.
